WADATA TERMS AND CONDITIONS FOR USE

Wadata (herein "the Platform") is a Decentralised Marketplace for Data Workforce and Fair Data Economy in Africa. We empower and invest in African youth through Data and Green skilling to generate high-quality localized datasets, create decent job opportunities, ensure fair data compensation, support climate action, and promote inclusive socio-economic growth. Wadata is owned by Tectona Group Limited (herein "the company").
These Terms of Use ("Terms") govern your access and use of Wadata platform accessible at https://wadata.africa/ and the Agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of Wadata. Your access to and use of Wadata is conditioned on Your acceptance of and compliance with these Terms and Conditions. By accessing and/or using Wadata, You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access Wadata. You represent that you are over the age of 18. The Company does not permit those under 18 to use Wadata.
Your access to and use of Wadata is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use, and disclosure of Your personal information. Please read Our Privacy Policy carefully before using Wadata.
To access and use the Wadata Platform and Services, you must meet the following criteria:
Wadata bridges the gap between skilled Data Contributors/Providers (referred to as Data Champs) and Data Consumers/Clients seeking high-quality data, digital, and green solutions.
Empowering local communities to own, value and use data for their socio-economic benefits. An inclusive and impact-driven platform that empowers African youth without requiring migration to urban areas. Wadata is more than a work platform, it is a catalyst for social and economic transformation across Africa.
To be eligible for job matching and placement services, a Data Champ must:
Eligibility does not guarantee job placement and is subject to employer demand, client requirements, and market availability.
Wadata may share candidate profiles, training completion status, and verification badges with job-sourcing partners or clients. The final decision on selection, onboarding, and remuneration rests solely with the employer or sourcing platform.

Wadata may partner with job-sourcing platforms and clients to facilitate job placement opportunities for qualified and verified Data Champs. These services include:
Wadata does not act as an employer but as a facilitator connecting Data Champs to potential job opportunities offered by third parties.
Wadata facilitates job opportunities but makes no guarantee of employment, earnings, or contract continuity. All terms of employment—including scope of work, compensation, and working conditions—are governed by the employer or hiring entity. Wadata is not liable for disputes arising out of the employment relationship unless directly attributable to a breach of Wadata's platform responsibilities.
Users must provide accurate, complete, and up-to-date information during registration.
Registration requires a valid email address, phone number, and identity verification (if applicable). Wadata reserves the right to approve, reject, or suspend accounts at its sole discretion.
Users are responsible for maintaining the confidentiality of their login credentials.
Users must immediately notify Wadata of any unauthorized access or suspected security breaches. Each user is allowed only one account unless explicitly authorized by Wadata.
Wadata reserves the right to suspend or terminate accounts that provide false information or violate these Terms.
Wadata provides a variety of training programs to build practical and market-relevant skills. These include:

Access to any training module is granted only after successful registration and, where applicable, full payment of course fees. Learners are expected to:
Upon successful completion of eligible modules, Wadata will issue a Certificate of Completion or other relevant digital credentials. These:
Participants who complete designated modules may also receive a Verification Badge on their Wadata profile, confirming that they have met competency standards.
Wadata reserves the right to assess training completion, evaluate proficiency, and may require additional tasks such as practical assignments or peer reviews before granting access to work opportunities.

Wadata reserves the right to update, revise, or discontinue any module at any time, with or without notice. Access to certain content may be subject to eligibility criteria, additional fees, or assessments.
By enrolling in Wadata's training programs, users acknowledge and accept these terms, understanding that participation is intended for personal and professional development, and does not constitute a job offer or income guarantee.
Wadata is committed to creating an inclusive digital platform that provides opportunities for African youth, particularly in underserved communities across both rural and urban areas. Our goal is to equip Data Champs with entry-to-advanced level, job-ready skills, enabling them to earn a decent income while applying their data, digital, and green skills to tackle local and global challenges—without needing to migrate in search of job opportunities. To ensure accessibility and equal opportunity, the minimum eligibility requirements to become a Data Champ are:

As a Data Champ on Wadata, you play a crucial role in ensuring high-quality data services, upholding ethical standards, and contributing to a fair data economy in Africa. To maintain trust, professionalism, and excellence, all Data Champs must adhere to the following code of conduct:
At Wadata, we are committed to making opportunities accessible to all aspiring Data Champs. Our goal is to remove financial barriers while providing skill-building and income-generating opportunities for the African youth.
Wadata offers Basic and Premium/Advanced training modules to equip Data Champs with essential and specialized skills. While some of the basic modules may be free, advanced and specialized training programs may attract a training fee depending on the complexity, duration, and certification level.
Premium Course Fees: Fees for premium courses offered through our platform shall be charged in accordance with the applicable standard rates in effect at the time of registration. These rates are subject to change at our discretion without prior notice. The current fees for each course will be clearly indicated on the relevant course page or communicated to you during the enrollment process.
All payments must be made in full and in the manner prescribed on the platform. Enrollment in a course is only confirmed upon successful receipt of the applicable fees.
We reserve the right to introduce discounts, promotional offers, or fee adjustments from time to time, which may or may not apply to all users. Paid courses will be clearly labelled on the Wadata learning platform. Unless it is a fully sponsored course/module, Data Champ interested in taking the course will be required to pay before enrolling for the cohort/cohort.
Fees are non-refundable, except where required by applicable law or as determined by Wadata in exceptional cases. Failure to complete an advanced course does not entitle the Data Champ to a refund or free re-enrollment.
Wadata applies an Admin Fee of 5% – 20% on each successful job placement or completed transaction through the platform. This fee covers platform maintenance, client acquisition, quality assurance, and operational support. The final payment amount received by Data Champs will be net of the Admin Fee.
Payments/payouts for completed and approved tasks will be processed within 30 days after job completion.
Payments will be made through Wadata's approved payment channels (e.g., mobile money, bank transfer, or digital wallets). Data Champs are responsible for any applicable taxes or deductions in their respective countries.
Wadata is committed to connecting businesses, organizations, and individuals with a skilled and ethical data workforce while maintaining fairness and transparency. By using Wadata's services, Clients agree to comply with the following terms.

The Talent Acquisition Fee refers to the platform fees applicable for engaging a Data Champ listed on the Wadata platform. The applicable fee structure shall be as follows:
The applicable fee amounts, hiring tiers, and detailed breakdowns shall be published on the Wadata platform and are subject to change at Wadata's sole discretion.
Project Fees and Administrative Charges refer to platform fees applicable for engaging Data Champs and accessing services provided through the Wadata platform. The fee structure is outlined as follows:
Custom projects requiring managed services, specialized recruitment, or large-scale data collection activities may attract additional service fees, which shall be communicated to the client prior to engagement.
At Wadata, we are committed to offering transparent and fair pricing. From time to time, we may update our Talent Acquisition Fees, Workforce Management Fees, and related charges to better serve you. Any updates will be clearly communicated on the platform in advance and will take effect as indicated.
All content made available on the Wadata platform including but not limited to training materials, microlearning modules, videos, assessments, logos, trademarks, platform designs, and written content is the exclusive property of Tectona Group or its licensors and is protected by applicable intellectual property laws.
Users acknowledge that they are granted a limited, non-exclusive, non-transferable license to access and use the platform content solely for personal, non-commercial learning and professional development purposes.
Where users (including Data Champs, trainers, or partners) submit content to the Wadata platform such as responses to assessments, forum discussions, feedback, or other contributions they retain ownership of such content. However, by submitting content, the user grants Wadata a worldwide, royalty-free, perpetual license to use, reproduce, adapt, publish, and display the content for the purposes of improving the platform, showcasing success stories, or for training enhancement.
Wadata reserves the right to moderate, remove, or refuse content that violates its terms or the rights of others.

Any unauthorized use of Wadata's intellectual property may result in suspension of access, legal action, and claims for damages.
Some courses or training modules may include content licensed from third parties. Such content remains the property of the respective rights holders and is subject to their own intellectual property terms. Users are expected to respect all intellectual property rights, whether owned by Wadata or by third-party contributors.
The Wadata platform may integrate, reference, or provide access to services, products, tools, content, or websites operated by third-party providers ("Third-Party Services") to enhance functionality, provide additional features, or facilitate the provision of services under this Agreement. These services are provided solely for the convenience of users and may include job placement partners, payment processors, certification bodies, learning tools, or external content platforms. Except as expressly provided in this Terms, the company disclaims all warranties, whether express, implied, or statutory, regarding Third-Party Services, including any warranties of merchantability, fitness for a particular purpose, or non-infringement.
The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services. We strongly advise You to read the terms and conditions and privacy policies of any third-party web sites or services that You visit.
The inclusion of any Third-Party Services on the Wadata platform does not imply an endorsement, sponsorship, or recommendation by Wadata. Wadata does not control, and is not responsible for, the availability, accuracy, legality, or content of any third-party services or platforms.
Users acknowledge and agree that any use of Third-Party Services is at their own risk and subject to the terms, privacy policies, and conditions of the respective third parties. Wadata encourages users to review these terms before engaging with any external service.
Wadata shall not be liable for any loss, damage, or inconvenience resulting from the use of, or reliance on, any Third-Party Services.
To facilitate job placements or service delivery, Wadata may share limited personal or training data of users with trusted third-party partners in accordance with Wadata's Privacy Policy and applicable data protection laws. Users consent to such sharing for the purposes of enabling access to opportunities, verifying credentials, or providing tailored services.
When using Wadata, You SHALL NOT: (a) sublicense, resell, distribute, or otherwise commercially exploit the Platform; (b) modify or create derivative works based on the Platform; (c) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform; (d) remove any proprietary notices or labels from the Platform; or (e) knowingly access, store, distribute or transmit any Viruses, or any material during the course of its use of the Services that: (i) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; (ii) facilitates illegal or unlawful activity; (iii) depicts sexually explicit images; (iv) promotes unlawful violence; (v) is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or (vi) is otherwise illegal or causes damage or injury to any person or property. The company reserves the right to suspend or terminate your access to Wadata if we reasonably believe that you or any other Authorised User has engaged in any unauthorised use of the Platform.
The Company may, from time to time and at its sole discretion, provide updates, upgrades, or modifications to Wadata ("Updates"). These Updates may include bug fixes, feature enhancements, and improvements to the user interface or user experience. The Company may also perform routine maintenance on Wadata to ensure proper functioning and security. The Company will make reasonable efforts to notify you in advance of any scheduled maintenance that may affect your use of Wadata. However, there may be occasions when emergency maintenance is required, and the Company may need to perform maintenance without prior notice. The Company shall not be liable for any losses or damages arising from such maintenance activities. You agree that the Company may update or modify Wadata at any time, with or without notice, and that your continued use of the Wadata after such Updates constitutes your acceptance of the updated Terms. The Company reserves the right to discontinue or retire any part of Wadata, including features or functionalities, at any time, without liability to you or any third party.
You agree NOT TO upload, post, transmit, or otherwise make available any User Data that is unlawful, or otherwise objectionable including but not limited to:
The Company reserves the right to remove any User Data that violates these Terms or is otherwise deemed inappropriate.
The Company is committed to protecting your privacy and handling your User Data in accordance with its Privacy Policy. We use industry-leading practices to protect your data, including a system architecture that separates different users' data into separate back-end databases and separate system memory spaces so that bugs or system errors cannot easily allow one user to access another's data. However, you acknowledge and agree that no system can guarantee absolute security, and the Company shall not be liable for any unauthorised access to, or use or disclosure of, your User Data.
The Company may retain your User Data for as long as necessary to fulfill the purposes for which it was collected, including for backup, archival, and audit purposes, or as required by law. You may request the deletion of your User Data by contacting the Company, subject to applicable laws and the Company's data retention policies.
Upon request, and to the extent feasible, the Company may provide you with a copy of your User Data in a commonly used electronic format.
The Company may, in its sole discretion, modify, adapt, or format your User Data to ensure compliance with Wadata's technical requirements or these Terms.
The Company reserves the right to terminate or suspend your subscription and/or access to Wadata at any time for violation of these Terms or for any other reason, with or without notice, or liability, in its sole discretion. Upon termination, Your right to use the Service will cease immediately. If You wish to terminate Your Account, You may simply discontinue using the Service.
We respect your right to control your personal data and your engagement with the Wadata platform. This section outlines how users can deactivate or permanently delete their accounts, and the conditions under which such actions may be processed.
You may choose to deactivate your Wadata account if you no longer wish to actively use the platform but may return in the future.
Please note: Account deactivation is required prior to initiating a deletion request unless explicit approval is granted by a platform administrator.
You may request to permanently delete your account and associated personal data under the following conditions:

Deletion Process
Once a deletion request is confirmed:
Wadata may apply a 14-day grace period before final deletion, during which you may cancel the deletion request by logging back in.
Admin Oversight
In cases where an account is linked to sensitive data, ongoing projects, or reports of high priority, Wadata administrators may retain the right to approve or deny deletion requests. Admin intervention is also required where legal, regulatory, or contractual obligations prevent immediate deletion.

We aim to respond to all verified requests within 14 business days.
To the fullest extent permitted by applicable law, in no event shall the company, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the services or any third-party services, regardless of whether such damages are based on warranty, contract, tort (including negligence), or any other legal theory, and even if the company has been advised of the possibility of such damages. The company's total liability to you for any claim arising out of or in connection with this agreement or the services shall not exceed the amount paid by you to the company for the services in the twelve months prior to the event giving rise to the claim.
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. The Company makes no representations or warranties of any kind, express or implied, regarding the Services or the content contained therein. The Company does not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.
The Company does not warrant or make any representations regarding the use or the results of the use of the Services in terms of their correctness, accuracy, reliability, or otherwise. You assume the entire cost of all necessary servicing, repair, or correction in the event of any loss or damage arising from the use of the Services.
The Company reserves the right to modify, suspend, or discontinue the Services or any part thereof at any time, with or without notice.
Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. A waiver by either party of any term or condition of these Terms or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof.
The laws of Kenya shall govern this Terms and Your use of the Service.
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company and resolve the dispute as follows:
In the event of any dispute or disagreement arising out of or relating to these Terms, You agree to first attempt to resolve the dispute through good faith negotiations between you and the company. You and the Company shall designate representatives with decision-making authority for such negotiations.
If negotiations do not lead to a resolution within Thirty (30) days after the written notice of dispute, You and the Company agree to submit the dispute to mediation. The mediation shall be conducted by a mediator mutually agreed upon by both parties. The costs of mediation shall be shared equally between You and the Company unless the mediator determines otherwise.
Should such mediation fail to achieve a resolution within One Hundred and Twenty (120) days, either You or the Company may declare a dispute by written notification to the other, whereupon such dispute shall be referred to any court of competent jurisdiction in Kenya.
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least Thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion. By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.
The Company welcomes feedback, suggestions, or ideas regarding Wadata, which you may submit voluntarily. By providing feedback, you grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, modify, reproduce, disclose, sublicense, distribute, and exploit such feedback without restriction.
