Welcome to Wadata! These Terms of Service ("Terms") govern your use of the Wadata platform—Africa's ethical data and AI marketplace. By creating an account or using our services, you agree to these Terms. Please read them carefully.

1 Acceptance of Terms

By accessing or using Wadata, you agree to be bound by these Terms, our Privacy Notice, and our Cookie Policy.

  • If you do not agree, you may not use the platform.
  • Users aged 16-17 require parental or guardian consent.
  • We may update these Terms periodically. Continued use after updates means you accept the new Terms.

2 The Wadata Platform

Wadata is a marketplace platform connecting:

Data Champs

Youth and women trained in ethical data work who complete jobs, earn income, and build digital skills.

Clients

Organizations, NGOs, AI companies, and enterprises that post jobs and access quality, ethical data.

Partners

NGOs, trainers, and local hubs that sponsor training programs and support Data Champ development.

Impact Investors

Funders who invest in skilling programs, job creation, and track measurable social impact.

Wadata acts as an intermediary—we facilitate connections, payments, and training but do not employ Data Champs. Users are independent contractors responsible for their own work and taxes.

3 User Accounts & Responsibilities

Account Creation

You must provide accurate, complete, and current information when registering. You are responsible for safeguarding your password and account credentials.

One Account Per Person

Each person may have only one account. Creating multiple accounts to manipulate ratings, payments, or platform features is strictly prohibited.

KYC Verification

To withdraw funds, you must complete Know Your Customer (KYC) verification by submitting a government-issued ID and proof of address.

Account Suspension

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraud, harassment, or unethical behavior.

4 Prohibited Conduct

To maintain a safe, ethical, and respectful community, you agree NOT to:

Fraud or Deception

Submit fake data, manipulate ratings, or misrepresent qualifications

Harassment or Abuse

Harass, threaten, bully, or discriminate against other users

Illegal Activities

Use Wadata for money laundering, terrorist financing, or any illegal purpose

Spam or Malware

Send spam, viruses, or attempt to hack or disrupt the platform

Data Misuse

Scrape, collect, or misuse data from other users without consent

Bypass Security

Circumvent platform security, payment systems, or access controls

⚠ Violation Consequences:

Users who violate these rules may face account suspension, termination, forfeiture of earnings, and legal action where applicable.

5 Payment Terms & Escrow System

How Payments Work:

Client Deposits Funds

Before posting a job, Clients deposit payment into a secure Escrow account managed by Wadata.

Data Champ Completes Job

Data Champs accept the job, complete the work, and submit it for review.

Client Approves Submission

Once the Client confirms the work meets quality standards, the payment is released from escrow.

Funds Transfer to Wallet

Payment is automatically transferred to the Data Champ's Wadata Wallet following the 75/20/5 Revenue Share Model:

  • 75% goes to Data Champ
  • 20% goes to Wadata Platform Fee
  • 5% goes to Community Data Trust Fund (CDTF)

Withdrawal

Data Champs can withdraw earnings anytime via M-Pesa, bank transfer, or crypto (subject to KYC verification).

Payment Disputes:

  • If a Client disputes work quality, Wadata's QA team will review the submission.
  • Funds remain in escrow until disputes are resolved fairly.
  • Wadata's decision is final and binding.

Taxes: Data Champs are independent contractors responsible for reporting earnings and paying applicable taxes in their jurisdiction. Wadata does not withhold taxes.

6 Intellectual Property & Data Ownership

Platform Ownership:

Tectona Group Limited owns all rights to the Wadata platform, software, branding, logos, and proprietary algorithms. Users may not copy, modify, or reverse-engineer Wadata's technology without permission.

Data Ownership:

Data Champs: You retain ownership of data you create or submit. By uploading data to Wadata, you grant us a non-exclusive, royalty-free license to use, process, and distribute it as part of fulfilling Client jobs.

Clients: Upon payment and job completion, Clients receive a license to use the data as specified in the job agreement, along with a Conscious Compliance Passport documenting consent and ethical sourcing.

Community Data: Any community-generated data is governed by Free Prior and Informed Consent (FPIC) principles and community agreements.

7 Disclaimers & Limitations of Liability

Platform "As-Is":

Wadata is provided "as is" without warranties of any kind. We do not guarantee uninterrupted service, error-free operation, or that the platform will meet all your needs.

No Employment Relationship:

Wadata does not employ Data Champs. All users are independent contractors. We are not liable for employment benefits, taxes, insurance, or disputes between users.

Limitation of Liability:

To the fullest extent permitted by law, Wadata is not liable for indirect, incidental, consequential, or punitive damages arising from platform use, data loss, payment issues, or user disputes. Our total liability is limited to the amount of fees paid to Wadata in the past 12 months.

Force Majeure:

Wadata is not responsible for delays or failures caused by events beyond our control (e.g., natural disasters, government actions, internet outages, pandemics).

8 Termination & Account Closure

Your Right to Close:

You may close your account anytime from your settings. Upon closure, you must withdraw any remaining wallet balance within 30 days, after which unclaimed funds may be forfeited.

Wadata's Right to Terminate:

We may suspend or terminate your account for violating these Terms, fraudulent activity, or to comply with legal obligations. We will provide notice where legally required, except in cases of immediate security threats.

Effect of Termination:

  • Your right to access the platform ends immediately
  • Ongoing jobs may be canceled (payment handled per Escrow rules)
  • Sections that should survive termination (e.g., IP rights, disputes, liability) remain in force

9 Dispute Resolution & Governing Law

Governing Law:

These Terms are governed by the laws of Kenya and international data protection regulations (GDPR where applicable).

Dispute Resolution Process:

  1. Informal Resolution: Contact jambo@wadata.africa Submit https://wadata.africa/contact/ to resolve disputes amicably.
  2. Mediation: If unresolved, disputes will be referred to mediation in Nairobi, Kenya.
  3. Arbitration: If mediation fails, disputes will be settled through binding arbitration under the Kenyan Arbitration Act.

Class Action Waiver:

You agree to resolve disputes individually, not as part of a class action lawsuit, unless prohibited by local law.

10 Changes to These Terms

We may update these Terms to reflect platform changes, legal requirements, or new features. When we do:

  • We will post the updated Terms on this page with a new "Last Updated" date
  • For material changes, we will notify you via email or in-app notification
  • Continued use of the platform after updates constitutes acceptance of the new Terms

If you disagree with updated Terms, your remedy is to stop using Wadata and close your account.
